Affiliate Agreement
This agreement describes the terms and conditions for participation in the affiliate program. In this agreement, the term “Affiliate” refers to you (the applicant). In this agreement, “The Trade School” refers to The Trade School LLC, a Colorado Limited Liability Corporation, with whom you are entering this agreement. By applying to the The Trade School affiliate program you are confirming that you have read the agreement and agree to the terms and conditions.
Affiliate Programs
There are two types of Affiliate programs with The Trade School: one-time and recurring.
Commissions
For a sale to generate a commission to an Affiliate, the customer must complete the order form and remit full payment for the course or product. Commissions will only be paid on sales that are made when the customer clicks through qualified, correctly structured Affiliate links. Properly coded links are the sole responsibility of the affiliate. Commissions can be viewed on the Affiliate Dashboard.
If the Affiliate is on a one-time payment option, they will receive a commission for each new signup.
If the Affiliate is on a recurring payment schedule, they will continue to accumulate commissions for each paid transaction by the customer for as long as the customer remains a paying customer. For Affiliates participating in the recurring program, commissions will also accumulate for additional courses and products their referred users purchase.
Commissions are based on a tiered system. An approved affiliate will start with a 10% commission. After five successful, valid, and paid commissions, the affiliate will then be eligible for a 20% commission on their 6th referral. The 21st referral will begin the 30% commission rate.
Commissions are based on list price, less any available coupons the customer uses on their order. Commissions are not paid on taxes or shipping costs. For example: a customer purchases a course or product listed for $100 but uses a 10% off discount code. The affiliate will receive their tiered rate percentage of the $90 total.
Payment
An Affiliate can request a payment when their balance reaches a minimum balance of $25 USD. Payments can be requested every 30 days. Payment processing can take up to 30 days from the request date. Payments will generally be paid out via PayPal. If not explicitly requested, payment will be automatically initiated on approved commissions within the first five days of each month.
Commissions are not valid for payout until after 14 days of a customer’s purchase to allow for sufficient time for customer funds to clear through the payment process.
Refunds
In the event a customer requests a refund for a transaction for which the Affiliate has earned commissions, any commissions earned on the refund amount will be deducted from the Affiliate’s balance.
Usage and Obligations
Affiliates are permitted to use the The Trade School brand and marketing resources available in the Affiliates section of the The Trade School application. Logos and other assets cannot be modified. The Affiliate does not gain any trademark, copyright, or any other rights to these materials.
The Affiliate will never imply that they are acting on behalf of The Trade School and will never advertise The Trade School products directly. The Affiliate will never bid for advertisements that compete with The Trade School.
The Affiliate will never represent themselves, The Trade School, or their relationship with The Trade School in a false or misleading way.
The Affiliate will not engage in the distribution of an unsolicited bulk email (spam) mentioning or referencing The Trade School.
Term and Termination
Either party has the right to terminate the agreement immediately without prior notice.
If the Affiliate terminates the agreement, no further commissions from The Trade School will be paid for any past or future customer transactions.
If The Trade School chooses to terminate the agreement, any balance greater than $25 USD will be paid to the affiliate within 60 days of termination. Balances that are smaller than $25 will be forfeited.
If the Affiliate is on a recurring program, The Trade School will not be obligated for any future payments after termination.
In the event an affiliate is paid in excess of $600 throughout the course of the calendar year, The Trade School is responsible for providing applicable tax documentation to the affiliate.
Governing Law
This Agreement shall be governed, construed, and enforced in accordance with the laws of the State of Colorado, without regard to its conflict of laws rules.
Arbitration
All claims and disputes arising under or relating to this Agreement are to be settled by binding arbitration in the State of Colorado. An award of arbitration may be confirmed in a court of competent jurisdiction.
Modification
We may modify any of the terms and conditions within this Agreement at any time and at our sole discretion. These modifications may include, but not limited to changes in the scope of available commissions, commission schedules, payment procedures and Affiliate Program rules.
